[Satellite TODAY 09-17-10] Harmonic has completed its acquisition of video production and playout solution provider Omneon for about $194 million in cash and 17.1 million shares of its common stock, Harmonic announced Sept 15.
    The acquisition, announced in May, represents an enterprise value of about $273 million based on the value of Harmonic’s common stock at the time of purchase and the net of Omneon’s cash balances.
    The acquisition combines Harmonic’s video delivery infrastructure with Omneon production technology resources as well as its management and distribution of digital media. Omneon’s customer base includes media companies such as BBC, BSkyB, CBS, Comcast, Discovery Communications, Echostar, NBC Universal, News Corp., Televisa, Turner Broadcasting System and Viacom. In 2009,  Omneon’s revenues were about $105 million, of which 67 percent were outside the United States.

In combination with Omneon, we expect to deepen our relationships with global media companies, enabling them to create, package and deliver the next generation of video-centric media services,” Harmonic President and CEO Patrick Harshman said in a statement.
    According to Harmonic, the combined company would have a video-focused global research and development organization of 450 engineers, a combined global sales and service organization of 330 people and a network of more than 250 global sales channel partners.
