[Satellite TODAY 10-06-09] The Kudelski Group issued a new offer to acquire all outstanding Class A shares of OpenTV, a middleware and interactive services company, for $1.55 per share in cash, Kudelski announced Oct. 5
    The price offered is around 14 percent more than Kudelski offered earlier this year to acquire OpenTV and represents a 17 percent premium over the Oct. 2 closing price of the Class A shares of $1.33, the last trading day prior to the date on which the offer was commenced. The offer includes a 55 percent premium to the closing price of the Class A shares announced in February.
    The Kudelski Group holds 32.3 percent of the total outstanding shares of OpenTV and 77.2 percent of the voting power of OpenTV’s shares. Kudelski said it plans to finance the transaction through a credit facility as well as from available cash held by Kudelski and its subsidiaries.
